1. Definitions

“Acceptable Use Policy” refers to the guidelines outlining permissible uses of the SEO Melody website and Services.

“Client” refers to any individual or business entity that has engaged SEO Melody for SEO marketing services.

“Confidential Information” means any non-public business, technical, financial, or strategic information disclosed by one party to the other in connection with the Services, whether disclosed orally, in writing, or by any other means.

“Content” means any text, data, reports, images, keywords, or other materials generated, submitted, or made available by either party through the Website or the Services.

“Fees” means the amounts payable by the Client for the Services, as set out in the applicable service plan, order form, or on the Website at the time of purchase.

“Force Majeure Event” means any event beyond a party’s reasonable control that prevents or delays that party’s performance of its obligations under these Terms.

“Intellectual Property Rights” means all patents, copyrights, trademarks, trade secrets, database rights, and other proprietary or intellectual property rights, whether registered or unregistered, anywhere in the world.

“Services” mean the suite of SEO marketing and related services provided by SEO Melody, including keyword research, on-page optimization, content marketing, link building, and analytics reporting.

“SEO Melody” (“we”, “us”, or “our”) means SEOMELODY LTD, a company incorporated under the laws of Cyprus, having its registration number HE 464724, registered address at Makariou III, 1-7, MITSI 3 Building, 3rd Floor, Flat/Office 302, Nicosia, 1065, Nicosia, Cyprus

“Subscription” means a recurring payment plan under which the Services are provided for a defined billing cycle until cancelled or terminated in accordance with these Terms.

“Website” refers to https://seo-melody.com/.

“User” means any individual accessing or interacting with SEO Melody, either through the Website or Services.

DISCLAIMER

FOR THE AVOIDANCE OF DOUBT, SEO MELODY IS A PROVIDER OF DIGITAL MARKETING AND SEO SERVICES.

IN ORDER TO MAXIMIZE THE BENEFITS OF OUR SERVICES, YOU MAY NEED TO PROVIDE ACCESS TO YOUR WEBSITE OR RELEVANT ACCOUNTS (E.G., GOOGLE ANALYTICS, SEARCH CONSOLE) WITH SEO MELODY. UNDER NO CIRCUMSTANCES DO WE HAVE CONTROL OVER YOUR ACCOUNTS OR DATA WITHOUT YOUR DIRECT AUTHORIZATION.

YOU REPRESENT AND WARRANT THAT YOU (I) HAVE FULL RIGHTS AND PERMISSIONS TO GRANT SEO MELODY ACCESS TO THE REQUIRED ACCOUNTS OR DATA FOR THE PURPOSE OF DELIVERING OUR SERVICES; (II) YOU HAVE THE FULL AUTHORITY TO ACT ON BEHALF OF ANY AND ALL OWNERS OF ANY RELEVANT ACCOUNTS, WEBSITES, OR CONTENT TO WHICH YOU GRANT US ACCESS; AND (III) YOU CAN DEMONSTRATE THESE RIGHTS AND PERMISSIONS IF REQUESTED.

SEO MELODY ASSUMES NO LIABILITY FOR ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNTS OR DATA THAT OCCURS OUTSIDE OF OUR CONTROL OR DUE TO YOUR FAILURE TO SECURE SUCH ACCOUNTS PROPERLY.

2. Acceptable Use Policy

You agree not to:

  • Use SEO Melody to engage in unlawful or fraudulent activities.
  • Submit content that is illegal, abusive, defamatory, or violates third-party rights.
  • Distribute unsolicited promotional material, spam, or malicious software through SEO Melody.
  • Attempt unauthorized access to SEO Melody’s systems, networks, or services.
  • Reverse engineer, decompile, or otherwise seek to discover the source code of SEO Melody.
  • Use automated means, such as bots, scrapers, or crawlers, to access the Website or Services without our prior written consent.
  • Interfere with, disrupt, or place an unreasonable burden on the integrity or performance of the Website or Services.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Services to transmit unsolicited communications in violation of applicable anti-spam laws.

We reserve the right to suspend or terminate access for violations of these Terms or the Acceptable Use Policy and to take appropriate legal action.

If we reasonably believe that you have violated this Acceptable Use Policy, we may investigate the matter and take any action we deem appropriate, including issuing a warning, suspending or terminating your access to the Services, removing the offending content, and/or reporting the conduct to law enforcement or other relevant authorities.

3. Access to the Services

3.1 Eligibility and User Permissions

SEO Melody’s services are available to businesses and individuals who are legally able to enter into binding contracts.

3.2 Registration

To use our Services, you must register an account by providing accurate and up-to-date information.

You are responsible for maintaining the security of your account credentials.

3.3 Business Use

If you are using SEO Melody on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3.4 Account Security

You are responsible for keeping your login credentials secure and for all activity on your account. Notify us immediately of any unauthorized access or use of your account.

3.5 Availability of Services

We may modify, suspend, or discontinue any aspect of SEO Melody without notice, and are not liable for any interruptions to the availability of our services.

4. Use of SEO Melody

SEO Melody grants you a limited, revocable, non-exclusive, non-transferable right to use the Services strictly in accordance with the service plan you have selected and paid for. This right is granted solely for your internal business or personal use and is subject to your compliance with these Terms and Conditions.

You acknowledge that:

  • The right to use the Services is provided solely based on the specific service plan you have subscribed to.
  • This right may be revoked by SEO Melody at any time if you breach these Terms or engage in any prohibited activity as outlined in the Acceptable Use Policy.

Subject to the white-label features included in your applicable subscription package, SEO Melody shall grant to you the right to:

  • reproduce, copy, modify, adapt, translate and otherwise create derivative works of the Service reports,
  • transmit and/or publish the Service reports,
  • remove or place your own logos or brands on the Service reports, if applicable. You may not sublicense, transfer, assign, or distribute this right to any third party without the prior written consent of SEO Melody.

Your use of the Services must remain within the scope of the features and functionalities available under the service plan you have chosen, and you are not authorized to access features or services not included in your plan.

The granted right shall terminate immediately when you fail to comply with these Terms.

All the rights to the translations of the SEO Melody interface are owned by SEO Melody. By translating the SEO Melody interface with the SEO Melody translating tool, you agree to allow others to use your translation.

The content of this website belongs to SEO Melody and may not be copied, reproduced, or redistributed in any way.

SEO Melody reserves the right to modify, suspend, or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to a breach of these Terms.

5. Ownership and Intellectual Property Rights

5.1 Ownership

SEO Melody retains all rights, titles, and interest in and to the website and services, including any improvements, enhancements, or modifications.

5.2 Client Data

You retain ownership of any data or content you submit to SEO Melody in connection with our services. However, you grant us the necessary rights to use this data for delivering services.

5.3 Feedback

If you provide suggestions, ideas, or feedback to SEO Melody, we may use and incorporate this feedback without any obligation to you.

5.4 Use of Client Intellectual Property for Service and Marketing

SEO Melody retains the right to utilize any Intellectual Property necessary for the purpose of delivering its services. This includes, but is not limited to, trademarks, logos, content, and other materials provided by the client.

SEO Melody reserves the right to use the client’s trademarks and logos strictly for portfolio purposes, showcasing the services provided to potential clients and as part of marketing efforts, unless Client explicitly requests otherwise in writing. This usage will not imply partnership unless explicitly agreed upon by both parties in writing.

5.5 Third-Party Materials

The Services may incorporate, rely on, or link to third-party tools, platforms, or data sources (for example, analytics or search-engine platforms). SEO Melody does not own and is not responsible for such third-party materials, which remain subject to the terms and policies of their respective owners.

5.6 Reporting Intellectual Property Infringement

If you believe that content available through the Website infringes your Intellectual Property Rights, please contact us at [email protected] with details sufficient to identify the material and your rights in it, and we will review and address the matter as appropriate.

6. Confidentiality

6.1. Each party agrees to protect the other party’s Confidential Information using the same degree of care it applies to its own confidential information of a similar nature, but in no event less than a reasonable degree of care, and not to disclose such information to any third party without the disclosing party’s prior written consent, except as required by law.

6.2. Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already lawfully known to the receiving party prior to disclosure; (iii) is received from a third party without breach of any confidentiality obligation; or (iv) is independently developed without reference to the disclosing party’s Confidential Information.

6.3. This Section shall survive the termination or expiration of these Terms.

7. Fees, Payment Terms and Taxes

7.1 Fees

Fees for the Services are set out in the applicable service plan, order form, or on the Website at the time of purchase, and are payable in the currency indicated at checkout.

7.2 Payment Processing

Payments are processed through our third-party payment providers. By providing your payment details, you authorize us, or our payment provider, to charge the applicable Fees to your chosen payment method.

7.3 Recurring Billing

For Subscriptions, Fees will be automatically charged at the start of each billing cycle until you cancel in accordance with Section 18.2, unless otherwise stated at the time of purchase.

7.4 Late or Failed Payments

If a payment fails or is not received, we may suspend or restrict your access to the Services until payment is successfully made, and may retry the charge or request updated payment details.

7.5 Taxes

Fees are exclusive of any applicable taxes, duties, or levies unless stated otherwise. You are responsible for any such taxes, other than taxes on SEO Melody’s net income.

7.6 Price Changes

We may change our Fees from time to time. Any Fee changes will apply to billing cycles starting after the change takes effect and will be communicated to you in advance.

8. Indemnification

You agree to indemnify and hold SEO Melody harmless from any claims, damages, losses, or expenses arising out of your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

We will notify you promptly of any claim subject to indemnification and provide reasonable cooperation, at your expense, in the defense of such claim. We reserve the right to assume control of the defense of any claim subject to indemnification, in which case you agree to cooperate with any reasonable requests made in connection with such defense.

9. Disclaimer of Warranties

Unless specified in SLA (Service Level Agreement) SEO Melody provides the Services on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, SEO Melody expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • We make no representations or warranties that the Services will meet your specific needs, deliver particular results, or be fit for any particular purpose.
  • We do not guarantee any specific outcomes, including search engine rankings, website traffic, or business results. Search engine algorithms and market conditions are constantly evolving and may affect your results beyond our control.
  • We do not warrant that access to the SEO Melody website or services will be uninterrupted, timely, secure, or error-free.
  • SEO Melody does not guarantee that the Services will be compatible with all hardware, systems, or software. It is your responsibility to ensure that your systems meet the necessary technical requirements to use the Services.

10. Limitation of Liability

In no event will SEO Melody, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from or related to your use of our Services, even if advised of the possibility of such damages.

Except for liability arising from wilful misconduct or gross negligence, or any other liability that cannot be limited or excluded under applicable law, SEO Melody’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount you actually paid to SEO Melody for the Services giving rise to the claim in the 12 months preceding the event giving rise to liability.

The limitations in this Section apply to the fullest extent permitted by applicable law and apply regardless of the legal theory on which a claim is based, whether in contract, tort, or otherwise

11. Force Majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) resulting from a Force Majeure Event, including but not limited to natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental actions, provided that the affected party uses reasonable efforts to mitigate the impact and resumes performance as soon as reasonably possible.

12. Compliance with Laws

You agree to comply with all applicable laws and regulations related to your use of SEO Melody, including but not limited to data protection laws.

You represent that you are not located in, and are not a resident or national of, any country subject to comprehensive trade sanctions, and that you are not listed on any government list of prohibited or restricted parties. You agree not to use the Services in violation of any applicable export control or economic sanctions laws.

13. Personal Data and Privacy

SEO Melody’s use of your personal data is governed by our Privacy Policy, which details how we collect, store, and use your information.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cyprus.

14.2 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for a period of at least 30 days.

14.3 Dispute Resolution

Any dispute arising out of or in connection with these Terms that is not resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of Cyprus, unless mandatory consumer protection law applicable to you grants you the right to bring proceedings before the courts of your country of residence.

14.4 Language of Proceedings

Any proceedings arising out of or relating to these Terms shall be conducted in the English language, unless otherwise required by applicable law.

15. Changes to These Terms

SEO Melody reserves the right to amend or update these Terms at any time. Where reasonably practicable, we will notify you of material changes by email or through a prominent notice on the Website at least 7 days before they take effect; non-material changes, such as clarifications or corrections, may take effect immediately upon posting. Your continued use of the Services after changes take effect constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you should stop using the Services and may terminate your account in accordance with Section 16.1.

16. Termination

16.1 By You

You may terminate your account and cease using SEO Melody services at any time. Upon termination, we will delete your account and any associated content.

16.2 By Us

We reserve the right to terminate your account at any time for violations of these Terms or if we believe it is in our best interest. If terminated for cause, no refunds will be provided, except as required by Section 18.1.

16.3 Effect of Termination

Upon termination of these Terms for any reason: (i) your right to access and use the Services will immediately cease; (ii) any Fees owed to SEO Melody up to the date of termination will remain due and payable; and (iii) the Sections which by their nature are intended to survive termination — including Sections 5 (Ownership and Intellectual Property Rights), 6 (Confidentiality), 8 (Indemnification), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), and 14 (Governing Law and Dispute Resolution) — will survive.

17. Credits Policy

17.1 General Terms

Credits provided by SEO Melody are a form of virtual points that can be used exclusively for purchasing or renewing subscriptions to the SEO Melody’s services. These credits are non-transferable, non-refundable, and cannot be redeemed for cash or any other form of compensation.

17.2 Issuance of Credits

Credits may be issued to clients as part of promotions, loyalty programs, or specific purchase agreements. SEO Melody reserves the right to determine the terms of issuance, including the amount, expiration date, and applicable use cases for credits. All details regarding credits will be clearly communicated at the time of issuance.

17.3 Use of Credits

Credits may only be applied toward the cost of services provided by SEO Melody, including subscription plans. They may not be utilized to settle any outstanding payments or debts. Credits will automatically be deducted from the client’s account when used for applicable subscription purchases.

17.4 No Refunds or Transfers

Credits are non-refundable, regardless of how they were used. Credits cannot be transferred between accounts or individuals. Any attempt to transfer or sell credits is strictly prohibited.

17.5 Modification of Policy

SEO Melody reserves the right to modify or terminate this Credits Policy at any time. Any changes will be communicated to users via email or website notification. Continued use of credits following such changes will constitute acceptance of the revised terms.

By using credits, you agree to comply with these terms and any additional terms that may be communicated at the time of issuance.

18. Refund and Cancellation Policy

19. Miscellaneous

19.1 Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Subject to the foregoing, these Terms will bind and benefit the parties and their respective successors and permitted assigns.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19.3 No Waiver

No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right, nor will any single or partial exercise preclude any other or further exercise of that right.

19.4 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and SEO Melody.

19.5 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and SEO Melody regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to the same subject matter.

20. Notices

Any notices to SEO Melody under these Terms should be sent to [email protected]. We may provide notices to you via the email address associated with your account, through the Website, or by other reasonable means. Notices are deemed received 24 hours after being sent by email, unless the sending party is notified that the delivery failed.

The Website or Services may contain links to, or integrate with, third-party websites, platforms, or services (for example, Google Analytics or Search Console) that are not owned or controlled by SEO Melody. We are not responsible for the content, privacy practices, or terms of any third-party websites or services, and your use of them is at your own risk and subject to their respective terms.

22. Electronic Communications and Language

By using the Services, you consent to receive communications from us electronically, including via email and notices posted on the Website, and you agree that such communications satisfy any legal requirement that they be in writing.

These Terms are drafted in the English language. Any translations are provided for convenience only, and the English-language version shall prevail in the event of any conflict or inconsistency.
